With great regret, the management of Whilton Mill Limited (WML), the owner of the Circuit, confirms that it has not been able to resolve the dispute with Whilton Mill Kart Club Limited (WMKCL), the club which has been awarded an Organising Permit at the Circuit by the MSA.
We are surprised that the Board of WMKCL has chosen to publicly portray its view of events in the way it has. The statement is defamatory and we are astonished that Super One have chosen to repeat this without trying to verify the facts with ourselves. We caution against anyone repeating the allegations contained within the statement.
It is particularly notable that WMKCL fail to mention that 2 of their 5 Directors have resigned from its Board today, before the Club issued its statement.
At the heart of the dispute is the failure of WMKCL’s Board to accept that they are accountable to their own members, despite the club’s own constitution (called the M&AA) requiring this. On 4 January 2013, the Club's solicitor stated that they did not recognise the "racing members" as proper members.
As we have stated previously, WML is committed to hosting a championship managed by a club which enjoys the support of its own members. We understand that some members (including members of the former club management committee) had already started to form a new club which will undertake to ensure that all members are properly consulted and that all the duties of Directors are performed.
We intend to co-operate with the establishment of that club and will invite all those from whom we have received correspondence recently to join that club.
The M&AA of WMKCL states that its principal objective is the “furtherance of kart racing at the Whilton Mill Circuit”. Without access to the Circuit, and assuming the members (ie those whose rights to vote are recognised by the WMKCL Board) do not change the M&AA then we see little option for WMKCL other than to wind itself up.
In that scenario, any cash surplus should, according to the Club's own M&AA, be passed over to a successor club.
These are, of course, matters for the current members of the old club to take up with their own Board.
WML has been unable to secure any commitment from the Board of WMKCL whatsoever that WMKCL intends to grant the members of WMKCL their proper say. We have received no rational explanation as to how the Board of WMKCL can justify this. This is the ONLY pre-condition that WML has required.
Given the gravity of the issues and the exceptional circumstances, we hereby invite the MSA and the ABkC to investigate the position within WMKCL as a matter of extreme urgency. We also invite the MSA and the ABkC to consider, once their investigations have been completed and if either or both finds evidence of irregularities and/or breaches of the Companies Act and/or breaches of their own rules by WMKCL and/or its Directors and/or Secretary, to immediately transfer the existing permit (including its original start date) to the successor club.
In our view, it would be far simpler if the members of the club had been (and could still be) granted their legitimate right to vote on matters that affect the club. We do not intend to speculate as to why the Board of WMKCL would refuse to grant its own members the proper rights due to them.
All questions relating to membership of the former club should now be directed to WMKCL (www.whiltonmillkartclub.co.uk).
We continue to explore the alternatives in conjunction with the new club and you can expect to hear from us and them soon.
We will not be engaging in any further public correspondence regarding the old club.
